Terms of Service

Last updated 1 October 2026

The plain version: you own your content and everything the agent produces. We do not train models on it. You pay one monthly price for a fixed daily allowance of runs, and the bill cannot surprise you. You can cancel any time and take your files with you. Everything below is the detailed version of that.

1.About these terms

These Terms of Service (“Terms”) form a binding agreement between you and Ayush Suri, an individual carrying on business under the GRACE name, with its principal place of business at 228 DL Road, Dehradun, Uttarakhand 248001, India (“we”, “us”, “GRACE”). They govern your access to and use of the GRACE service — the website, your workspace, the sandbox, and the agent itself.

GRACE is currently in private beta. That matters: the service will change under your feet — features will appear and disappear — and we have written these Terms to say so plainly rather than pretend otherwise.

You accept these Terms by creating an account, subscribing, or running a task. If you do not agree with them, do not use GRACE. We have tried to keep the language readable; where a heading and a plain sentence disagree, both carry the same legal weight — the plain sentence is not decoration.

2.Definitions

  • GRACE — General Runtime Agent for Computing Environments. “GRACE” and “the Service” are used interchangeably in these Terms.
  • Service — GRACE as a whole: the website, your workspace, the sandbox environments, and the agent.
  • Workspace — your isolated area of the Service: the files you add, the files the agent produces, your conversations and their transcripts.
  • Sandbox — the ephemeral Linux environment, with a shell and a filesystem, in which the agent executes commands for a task. The Sandbox is recreated per task; your Workspace is what persists.
  • Run — one request from you: your sentence in, the finished files out. The planning, the searching, the patching — however many commands the arc takes, it is a single Run. A follow-up message in the same conversation starts a new Run. Runs are counted per UTC day.
  • Daily Allowance — the number of Runs included with your plan each UTC day, as shown in your workspace.
  • Content — everything in your Workspace: files you upload, prompts you type, transcripts, and outputs the agent produces.
  • Beta — the private, invitation-based phase of the Service during which features, limits and pricing may change.

3.Eligibility and accounts

You must be at least 18 years old to use GRACE. In India, users under 18 would require verifiable parental consent under the Digital Personal Data Protection Act, 2023, and the Service is not offered on that basis.

Accounts are personal: one account per human, authenticated through Google. You are responsible for activity under your account, for keeping your credentials to yourself, and for telling us promptly at [email protected] if you believe someone else has gained access.

You may use GRACE only on behalf of yourself or an organisation that has authorised you to. If you use it for an employer, you confirm you have the authority to bind them to these Terms.

4.Private beta and access

Access is by invitation. A paid order creates an entitlement only when we grant one; during the Beta we onboard a limited number of accounts and keep the queue moving by hand.

If you pay and we cannot open a seat for you, we will refund the full amount rather than keep you waiting.

We may pause onboarding, or change how entitlements are granted, during the Beta. Nothing in this section limits anything you have already paid for.

5.Subscription and payment

GRACE is sold as one monthly plan. The price you see at checkout is the price you pay, including applicable taxes. In India, payment is processed by PayU — cards, UPI and netbanking. Outside India, we issue a payment request you can settle from Wise or by bank transfer.

Your monthly period begins when your payment clears, and renews on the same date each month unless you cancel. Where you have set up a recurring mandate with PayU, renewal is charged automatically; otherwise we will send a payment request before renewal.

We never see or store your card numbers, UPI PINs or netbanking credentials — those pass directly between you and the payment processor. If a payment fails, we will try to tell you and keep the lights on for a grace period of up to seven days before access lapses.

We may change prices. Any change applies only to periods beginning after we notify you, and you can reject it by cancelling before your next renewal. Receipts are available in your account.

6.The daily allowance

Your plan includes a fixed Daily Allowance of Runs, visible live in your workspace. The counter resets at 00:00 UTC.

  • A Run is counted when it starts, not when it finishes.
  • Allowance does not roll over, cannot be transferred between accounts, and has no cash value.
  • When the allowance is exhausted, the agent pauses until the next UTC day. Your conversations and files are untouched.
  • If a Run fails because of something on our side, we will do our best to restore it to your allowance.

Creating additional accounts to multiply an allowance is a violation of the Acceptable Use Policy.

7.Your content, and the licence we need

Your Content is yours. You retain every right you had in it, and — to the extent we hold any rights in outputs the agent produces — those outputs are yours too.

To operate the Service we need a limited licence: to host, store, copy, transmit and process your Content for the sole purpose of providing GRACE to you. That includes sending the portions your task requires — your prompt and the relevant workspace files — to third-party model providers so the agent can work. The licence exists only to run the Service; it ends when you delete the Content or close your account.

We do not use your Content to train any model — ours, or any third party’s. See the Privacy Policy for exactly what leaves your workspace, where it goes, and why.

Outputs may include or resemble third-party or open-source material. Checking that what you ship complies with the licences involved is your responsibility, not ours — you are the one reviewing the files before using them, and the transcript shows where each piece came from.

You can export your files from your workspace at any time, without asking us.

8.What the agent can and cannot do

The agent is probabilistic machinery with a shell. It can be wrong, confidently. Outputs are not warranted to be correct, complete, secure or fit for any particular purpose, and you should review them — and the commands that produced them — before merging, deploying, or otherwise relying on them.

GRACE never merges, deploys or sends anything anywhere on its own. Results arrive as files in your workspace; what happens to them next is entirely your call.

9.Acceptable use

Your use must comply with our Acceptable Use Policy, at /legal/acceptable-use. The short version: the sandbox is your laboratory, not a launchpad. Attacks on systems you do not own, malware, illegal content and hoarding resources are off-limits — for you, and for anything you instruct the agent to do.

You are responsible for what you ask the agent to do. “The agent did it” is not a defence, and the transcript will make that clear to everyone involved.

10.Security and isolation

Each account’s workspace is isolated; no other account can see your files, and sandboxes are torn down after each task. Data is encrypted in transit and at rest, and staff access to workspace Content is limited to support you request and abuse investigation, and is logged.

No system is perfect. If you believe GRACE has been compromised, or your account has, write to [email protected] immediately — we would rather hear ten false alarms than miss one real one.

11.Availability, maintenance and support

The Beta comes with no uptime guarantee. The Service depends on third-party AI models and infrastructure whose availability, capacity and quality are outside our control. The Service is provided “as is” and “as available”: we do not promise uninterrupted access, a specific model, response quality, or that any feature will remain offered. We will do maintenance, occasionally with little notice, and features will break now and then.

Support is best-effort, by email, at [email protected]. Beta feedback is genuinely welcome — it shapes what gets built.

12.Changes to the service, models and allowance

The agent runs on AI models supplied by third parties. Which models are offered, their capabilities, their pricing to us and how long they remain available are not within our control and may change without warning. We may add, substitute, restrict, rate-limit or withdraw any model at any time, with or without notice.

The Daily Allowance is not a fixed entitlement. We may raise, lower, reshape, pause or discontinue it — for all accounts or for any account — at any time and at our sole discretion, including as needed to keep the Service affordable, available or sustainable.

More generally, we may add, change, suspend or discontinue any part of the Service, at any time, for any reason or no reason. If a change materially reduces what a paid plan includes mid-period, you may cancel as described below; whether any refund or credit is owed is at our sole discretion, except where the law requires otherwise.

13.Suspension, cancellation and termination

You can cancel at any time, from your account. Cancellation takes effect at the end of the monthly period you have paid for. Refunds on cancellation follow the Refund Policy at /legal/refunds: a full refund within 7 days of your first payment, and no partial refunds for the remainder of a period after that window.

We may suspend, restrict or limit any account immediately if we reasonably believe these Terms or the Acceptable Use Policy are being violated, that the Service is being used for something illegal, or that the account is a security or abuse risk. Where we can, we will tell you why. Whether and when access is restored is at our sole discretion.

We may also terminate any account, with or without notice, for any reason or no reason, at our sole discretion — including payment failures, chargebacks, trial or referral abuse, quota anomalies, unlawful use, or no stated reason at all. A termination for violation of these Terms or the Acceptable Use Policy may or may not carry a refund — this is decided case by case, at our sole discretion. For any other termination, whether a pro-rata refund is owed is likewise at our sole discretion, except where the law requires otherwise.

For thirty days after any termination, your workspace remains downloadable. After that, we delete it, except for records we are legally required to keep.

The sections on content ownership, disclaimers, liability, indemnity, governing law and grievance redressal survive termination.

14.Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Indian law limits how far liability can be pushed away; this section goes exactly that far and no further.

15.Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, lost profits, or loss of goodwill. Our total liability for all claims arising out of or related to the Service is capped at the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury, or anything else the law will not let us exclude.

16.Indemnity

You will defend and indemnify us against claims arising from your Content, your use of agent outputs, or your violation of these Terms or the Acceptable Use Policy. We will notify you of any claim we receive, let you participate in its defence with your own counsel, and not settle it in a way that admits fault on your behalf without your agreement.

17.Our intellectual property

The Service — the platform, the agent, the sandbox orchestration, the GRACE name and marks — belongs to us and our licensors. These Terms give you a right to use the Service, nothing more, and that right ends when your access does.

Feedback is optional. If you send it, you grant us a non-exclusive, royalty-free licence to use it — and you keep everything else.

18.Governing law and disputes

These Terms are governed by the laws of India. Before any formal proceedings, we will each try in good faith for thirty days to sort disputes out directly — an email is usually enough.

What that fails to resolve goes to a single arbitrator under the Arbitration and Conciliation Act, 1996, seated in Dehradun, conducted in English and confidentially. The courts at Dehradun retain jurisdiction for interim relief and for anything that cannot be arbitrated.

Your rights as a consumer under the Consumer Protection Act, 2019 are unaffected — this section does not ask you to give them up.

19.Changes to these terms

If we make a material change to these Terms, we will notify you at least fourteen days before it takes effect, by email and in-product. Continuing to use GRACE after the effective date means you accept the change; if you do not, cancel before it lands.

20.Grievance officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Digital Personal Data Protection Act, 2023:

  • Grievance Officer: Ayush Suri
  • Email: [email protected]
  • Postal: 228 DL Road, Dehradun, Uttarakhand 248001, India
  • We aim to acknowledge grievances within three business days and to resolve them within fifteen, or within any shorter period the law sets.

21.General

Notices to you go to the email address on your account and are deemed received when sent; notices to us go to [email protected]. You consent to receive communications from us electronically.

You may not assign these Terms. We may assign them to an affiliate or to a successor that acquires the business, with notice to you.

If any provision is unenforceable, the rest stands, and the unenforceable one is read as narrowly as it takes to become enforceable. Waiving a breach once is not waiving it forever. These Terms, together with the Acceptable Use Policy and the Privacy Policy, are the whole agreement between us about the Service.

Headings are for convenience. Force majeure applies: neither party is liable for failure caused by events beyond its reasonable control.
